These Terms of Service ("Terms") govern your agency's and your own access to and use of ActiveCare, a software platform for home care agencies operated by GOAT Exercise LLC ("GOAT Exercise," "we," "us"). By creating an account or using ActiveCare, you agree to these Terms on behalf of yourself and, if you're acting for an agency, on behalf of that agency ("you," "your agency").

1. What ActiveCare is

ActiveCare is a subscription platform that helps home care agencies build and manage AI-assisted exercise and care plans, track client outcomes, deliver caregiver training and certification, and communicate with clients' families and physicians. ActiveCare is a care-planning and operations tool for use by your agency's own staff - it is not a substitute for professional medical judgment (see Section 6).

2. Accounts and roles

You must be an authorized representative of a subscribing home care agency to hold an ActiveCare account. Accounts are assigned one of several roles (caregiver, agency administrator, or GOAT network staff), each with different access within the Service. You're responsible for keeping your login credentials confidential and for all activity under your account.

Your agency, not GOAT Exercise, is responsible for the accuracy of client information entered into ActiveCare, and for vetting and supervising the caregivers to whom it grants access. ActiveCare does not perform background checks on caregivers - that relies entirely on your agency's own hiring and vetting process.

3. Subscription and billing

ActiveCare is offered on a subscription basis, at the plan tier and billing cycle (monthly or annual) your agency selects. Payment is processed by our payment processor, Stripe. Subscriptions renew automatically until cancelled. You can change plans or cancel from your agency's own billing settings, or by contacting us; changes take effect as described at the time you make them.

If your agency's client count reaches its plan's limit and "auto-bump" is enabled, ActiveCare will automatically raise your client limit so new clients aren't blocked. Auto-bump only raises the limit - it does not automatically change your subscription tier or the amount billed to your payment method; you're responsible for choosing a plan that reflects your actual usage.

4. Acceptable use

You agree not to:

  • Use ActiveCare for any client relationship your agency isn't actually authorized to manage;
  • Attempt to access another agency's data, or any account that isn't your own;
  • Reverse-engineer, scrape, or attempt to circumvent the Service's access controls;
  • Use family-observer or physician/payer-export access for any purpose other than what it was granted for;
  • Upload or enter content you don't have the right to share, or that violates the privacy or other rights of any client, caregiver, or third party.

5. AI-generated content

ActiveCare uses AI (Claude, by Anthropic) to help generate and update exercise plans and to suggest exercise substitutions when a caregiver flags a difficulty. AI-generated suggestions are a starting point, not a final clinical decision. They're based on the assessment information entered into the Service and may not account for information your agency's own qualified staff would otherwise know about a client.

Your agency is responsible for having qualified staff review AI-generated plans and substitutions before they're used with a client, and for exercising independent professional judgment at all times.

6. Not medical advice

ActiveCare is a care-planning and communication tool. It does not provide medical advice, diagnosis, or treatment, and nothing in the Service should be treated as such. Always rely on the judgment of qualified healthcare professionals for medical decisions, and seek emergency care immediately for any medical emergency.

7. ActiveCare Certified and caregiver approval

The ActiveCare Certified badge is ActiveCare's own internal quality-recognition program, based on an agency's real adherence, outcome, and caregiver-training data measured against ActiveCare's own published benchmarks. It is not a license, accreditation, or endorsement issued by any government agency, insurer, or independent accrediting body.

Similarly, a caregiver's in-app training-completion certificate reflects completion of ActiveCare's own internal training curriculum. It is not a state-issued caregiver certification, license, or credential, and does not substitute for any certification your jurisdiction may separately require.

8. Data ownership

As between you and GOAT Exercise, your agency retains ownership of the client, caregiver, and operational data it enters into ActiveCare. We act as a service provider processing that data to operate the Service on your agency's behalf, as described in our Privacy Policy. GOAT Exercise owns the ActiveCare software, design, exercise/activity library content, and all related intellectual property; your agency's subscription grants a limited right to use the Service, not ownership of it.

9. Termination

You may cancel your subscription at any time through your billing settings. We may suspend or terminate access for a material breach of these Terms, non-payment, or misuse of the Service. After termination, your agency's data is retained consistent with the general retention practices described in our Privacy Policy, and your agency may request an export of its data before or shortly after termination by contacting us.

10. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DON'T WARRANT THAT THE SERVICE, INCLUDING ANY AI-GENERATED CONTENT, WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR ANY PARTICULAR CLIENT WITHOUT INDEPENDENT PROFESSIONAL REVIEW.

11. Governing law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law principles. [Confirm venue/dispute-resolution approach - e.g. arbitration clause - with counsel.]

12. Changes to these Terms

We may update these Terms from time to time. We'll post the revised version here with an updated "Last updated" date, and will communicate material changes to agency administrators.
